Preliminary Notice of the 2016 Annual General Meeting of JOY Melbourne Inc

Dear JOY Members,

The Board of JOY Melbourne Inc invites all members to attend the Annual General Meeting (AGM) to be held at 2pm on Sunday 23 October 2016.

JOY members who are unable to attend the AGM will be able to vote on the day via a proxy. Any member of JOY who is present at the AGM may be nominated as a proxy. Proxy forms will be distributed with the official notice of the AGM, which will be distributed along with other relevant documentation at least 14 days prior to the AGM.

Nomination

Nominations close 8 pm on Sunday 18th  September, 2016.

If you are considering nominating for a position on the JOY Board of Directors or suggesting that someone nominate for a position, It is strongly recommended that nominees for a Board position review the role description for the Board of Directors.

Board appointments are for three years, and Board members are required to attend a minimum number of Board meetings, as outlined in the role description.

In recent years, the Board has met on the third Thursday of each month. If you wish to nominate to the Board but are unavailable at this time, please notify the Secretary prior to or at the time of your nomination.

The nomination form must be completed and sent to the Secretary prior to the close of nominations. This can be provided via email or by post.

The candidate statement (250 words maximum) must be provided via email, to the Secretary, at secretary@joy.org.au prior to the close of nominations. Candidate statements will be sent to all members to provide assistance in choosing whom to vote for.

Voting Process

If the number of nominated candidates exceeds the number of vacancies, a vote will take place by a formal ballot voting process. Eligible members who attend the Annual General Meeting can vote in person. Eligible members may also vote by nominating a proxy, but the proxy must be present at the Annual General Meeting to vote on your behalf.

If an election is held, candidates may be asked to speak for up to two minutes per candidate at the AGM. Any candidate who is unable to attend the AGM is asked to notify the Secretary prior to or at the time of nomination. Candidates who receive the highest number of votes will be elected.

If you are considering nominating for a Board position, the following questions may assist you to make this decision:

  • Are your skills, experience and personal qualities a good match for the role?
  • Do you know and understand Board governance, finance, confidentiality, risk and obligations?
  • What do you foresee may be different in how you would need to behave as a Board member when interacting with other JOY volunteers?
  • Have you considered the time commitments with work/life balance?
  • Would you have any perceived or actual conflicts of interest?

 

Information Session

An information session for prospective or curious potential candidates will be held:

Time 6:00 pm -7:00 pm Tuesday 13th of September
Place: – 10th Floor -Kulin Room. 225 Bourke Street, Melbourne.

All prospective candidates are strongly encouraged to attend.
